Job summary

Santander, a global financial services firm in the United States, seeks a CIB Securitization Senior Legal Counsel – Executive Director. The role leads day-to-day drafting and negotiation of deal documents for securitization and structured finance, in close collaboration with the Securitized Products Group.

You will advise on U.S. securities and banking laws, handling high-risk transactions with autonomy. NYC-based preferred, reporting to the Securitized Products Group.

Qualifications

• J.D. degree and active bar admission in the state of practice.
• Experience leading negotiation and drafting in securitization/structured products.
• Strong communication and legal risk management skills.
• Ability to work autonomously in a fast-paced environment.

Responsibilities

• Lead day-to-day negotiation and drafting of deal documents for securitization and structured finance.
• Serve as lead counsel and primary point of contact for CIB Securitized Products Group on banking, lending and capital markets transactions.
• Draft and finalize documents including loan agreements, repo agreements, term sheets, engagement letters and confidentiality agreements.
• Advise business stakeholders on implications of U.S. securities laws and banking regulations.
• Manage complex, high-risk structuring issues and set legal positions independently.
• Provide coverage across adjacent business lines as a senior legal resource.
