Qualifications

• 4–5 years' experience at a recognised US law firm.
• Strong experience in executive compensation and employee benefits.
• Exposure to M&A and private equity transactions.
• Experience advising on equity compensation, incentive arrangements and executive employment agreements.
• Excellent drafting, analytical and client-facing skills.

Responsibilities

• Advising on executive compensation and employee benefits aspects of M&A and private equity transactions.
• Drafting and negotiating executive employment, severance and equity compensation arrangements.
• Advising on equity and cash incentive plans.
• Supporting clients on SEC disclosure and regulatory requirements.
• Working on complex domestic and cross-border transactions alongside leading corporate teams.
