The role blends transactional work with standalone advice, offering broad exposure to sophisticated clients and complex compensation

Qualifications

• Experience in executive compensation and employee benefits.
• Exposure to M&A, private equity or other corporate transactions
• Excellent academic credentials
• New York Bar admission or eligibility to become admitted

Responsibilities

• Handle executive employment and compensation arrangements.
• Draft and review equity and incentive compensation plans.
• Manage management incentive arrangements.
• Address change-in-control and severance arrangements.
• Advise on compensation and benefits aspects of M&A transactions.
• Handle private equity transactions and management equity arrangements.
• Draft executive employment agreements and related documents.
• Address employee benefits issues arising in corporate transactions.
• Navigate securities and tax considerations in compensation arrangements.
