Job summary

U.S. Bank is seeking an experienced attorney to join the Equipment Finance Legal Team to support EF’s management, sales, credit, and negotiations teams for documentation needs relating to commercial equipment leases, loans and software financing products.

The role offers exposure to a variety of legal issues across departments nationwide, with expectations to work from a U.S. Bank location three or more days per week.

Qualifications

• Licensed by and in good standing with the appropriate state bar association.
• Experience supporting complex commercial equipment lease and loan transactions preferred.
• Experience with vendor programs and indirect lending is a plus.

Responsibilities

• Structuring, drafting, reviewing and negotiating vendor program agreements and servicing agreements with EF’s indirect financing sources while ensuring compliance with third-party risk requirements.
• Reviewing third-party lending and leasing documentation for purchase through EF’s indirect financing and syndications channels.
• Lead in the provision of structuring, risk assessment, documentation, and transactional support for lending and leasing products with a focus on large ticket transactions.
• Developing and maintaining contract templates for large ticket transactions.
• Working with senior management, sales and credit to evaluate and develop new financing products.
• Providing counsel on perfection, collateralization and other UCC 2A/9 issues.
• Developing guidance for leadership on legal/regulatory risk.
