Job summary

Texas Capital Bank is seeking a governance and documentation specialist to support complex entity onboarding and ongoing management. You will review governing documents, maintain records, and coordinate across legal, compliance, treasury, operations, and credit teams.

The ideal candidate has a JD or equivalent, 3+ years in entity formation and ownership structures, and strong written communication. Excellent problem-solving, attention to detail, and the ability to work across fast-paced teams

Qualifications

• JD or equivalent experience in financial services or related field.
• Experience with entity formation and governing documents.
• Ability to trace ownership and control structures.
• Strong written communication and cross‑functional collaboration.
• Familiarity with KYC/KYB and AML concepts.

Responsibilities

• Read, analyze and confirm authority under governing documents.
• Construct and maintain governance charts for complex structures.
• Build and maintain authority matrices with identified signers and approvers.
• Prepare standardized entity documentation for accounts, lending, and delegated authority.
• Flag changes of control and route to internal stakeholders.
• Track items and coordinate document corrections.
• Coordinate across legal, compliance, treasury, operations, and credit.
• Contribute to policy development and escalation processes.
• Raise exceptions through appropriate approvals.
