Job summary

Texas Capital Bank seeks a Legal Specialist to manage onboarding and ongoing governance of complex business structures, including nested entities, funds, and SPVs. Qualifications

• JD or equivalent experience in financial services, entity formation and delegations of authority, transactional work or other relevant experience will be strongly considered.
• 3+ years of experience with entity formation, working with constituent documents, fund structures, bank operations or complex commercial KYC/onboarding.
• Familiarity with corporate and business authority, beneficial ownership concepts, and KYC, KYB and AML.

Responsibilities

• Read, analyze and confirm legal authority delegated under business organization constituent documents (operating agreements, limited partnership agreements, corporate bylaws, articles of incorporation, trust agreements, resolutions, secretary certificates and incumbency certificates).
• Construct and maintain legal structure charts for complex business structures, including nested entities, sponsor families, commercial real estate and private fund structures, and multi-SPV clients.
• Build and maintain authority matrices distinguishing entity-level legal representatives, bank-authorized signers, treasury approvers, and digital preparers with documented evidence and effective dates.
