Qualifications

• Significant experience in employee benefits and executive compensation counseling, including matters in mergers, acquisitions and divestitures.
• Experience advising on benefits/compensation in corporate transactions and related regulatory developments.
• Familiarity with ESOPs, 409A, and related compliance programs.

Responsibilities

• Counsel on tax/ERISA issues affecting retirement, welfare, and compensation plans.
• Advise on plan terminations and benefits integration in corporate transactions.
• Draft employment, equity, phantom equity, and transaction bonus agreements.
• Assist with IRS and DOL filings and compliance.
• Provide ESOP and 409A guidance in client engagements.
