Job summary

AM Law 100 Firm seeks a Managing or Senior Associate focused on private fund formation to join its venture capital practice. You will advise fund sponsors on formation, structuring, and regulatory issues while guiding investment teams through lifecycle milestones.

You will work with a premier client base across innovation-focused sectors, balancing sophisticated matters with practical counsel in a collaborative, high-performance culture.

Qualifications

• 4–7 years of experience in private fund formation and investment management.
• Direct experience advising venture capital and growth equity fund managers.
• Strong academic credentials and professional motivation.
• Excellent communication, writing, and organizational skills.
• Active bar membership in the jurisdiction of practice.

Responsibilities

• Advise venture capital and growth equity sponsors on all aspects of fund formation.
• Manage fund-side matters including structuring, negotiation, and regulatory strategy.
• Guide clients through the full fund lifecycle, from capital raising to deployment.
• Collaborate with cross-office teams supporting innovation-focused investors.
• Provide tailored counsel to both emerging managers and multi-billion AUM funds.
