Job summary

The People Of: Professional Services seeks a mid-to-senior level Corporate Associate Attorney focusing on fund formation and private investment funds. You will structure and counsel venture capital and private equity funds, working across formation, governance, and regulatory matters.

Ideal candidates bring substantial VC/PE fund formation experience, strong drafting and client-facing skills, and a JD with admission to practice.

Qualifications

• 4–8 years of relevant corporate experience.
• Extensive VC/PE fund formation experience.
• Strong knowledge of corporate and securities laws.
• Excellent drafting, analytical, negotiation, and client-facing skills.
• Ability to manage sophisticated matters with increasing independence.
• Strong academic credentials.
• Admission to the state bar, or eligibility to sit for or waive into the relevant jurisdiction.
• Previous experience working in a law firm.

Responsibilities

• Structuring and forming venture capital and private equity funds.
• Advising fund sponsors and managers throughout the lifecycle of their funds.
• Drafting and negotiating fund formation and governance documentation.
• Counseling clients on applicable corporate and securities regulations.
• Advising venture studios, incubators, accelerators, and other innovative investment platforms.
• Supporting sophisticated and evolving investment structures, including crypto-related funds.
• Taking meaningful responsibility for client relationships and complex transactional matters.
