BCG Attorney Search seeks an associate attorney in Boston, MA with 3–6 years of experience in emerging company and venture capital transactions to join the Strategic Transactions practice group, advising early-stage companies and venture funds.

The role involves advising on IPOs, M&A exits, investor rounds, founders' arrangements, and securities law compliance, with emphasis on transaction drafting and negotiation in a fast-paced environment.

Qualifications

• J.D. degree from an accredited law school or equivalent.
• Admitted to practice law in the relevant jurisdiction.
• 3–6 years of experience in capital markets or securities law.
• Experience representing early-stage companies and investors.
• Proficiency in drafting and negotiating transaction documents.
• Ability to manage multiple projects in a fast-paced environment.
• Strong research, analytical, and problem-solving skills.
• Attention to detail and organizational skills.
• Proficiency in using AI technologies responsibly in legal practice.

Responsibilities

• Advise early-stage companies through IPO or M&A exit.
• Guide venture capital funds on investment rounds and investor relationships.
• Assist with founders' arrangements and initial investments.
• Provide advice on securities law compliance and corporate governance.
• Facilitate mergers, acquisitions, and asset sales.
• Support public offerings and strategic relationships.
• Conduct due diligence and investment structuring for investors.
• Advise on investment exit strategies.
