Job summary

ArentFox Schiff LLP seeks an associate in Chicago (preferred) or other offices to join the Corporate & Securities practice.

The candidate should have experience with private offerings, fund formations, and fund documentation, including private placement memoranda, subscription agreements, LPAs, operating agreements, side letters, investment management agreements and Form ADV, with M&A experience preferred.

Qualifications

• Strong academic credentials
• Licensed in good standing in the practice state
• Experience with private offerings and fund structures

Responsibilities

• Draft and negotiate private placement memoranda and related fund documents
• Prepare and review subscription agreements, LPAs, operating agreements and side letters
• Support investment management agreements, Form ADV and other fund-related documentation
• Assist with M&A teams and related corporate work
