Job summary

Our client, a nationally recognized Am Law firm, seeks a mid-to-senior level Corporate & Securities Associate (5th year and above) to join its Corporate practice in San Francisco, CA. The role focuses on private funds structuring, governance, and fundraising for fund sponsors and investment managers.

Qualifications

  • J.D. from an accredited law school.
  • Active bar membership in the applicable jurisdiction or willingness to obtain admission.
  • 5+ years of corporate transactional experience.
  • Significant experience with private fund formation, investment management matters, private offerings, fund operations and governance.
  • Experience drafting and negotiating sophisticated fund documentation.
  • M&A transaction experience preferred.
  • Excellent organizational, analytical, and writing skills.
  • Strong academic credentials.
  • Ability to manage multiple matters in a fast-paced law firm environment.
  • Strong client service and communication skills.

Responsibilities

  • Advise clients on formation, structuring, and operation of private investment funds.
  • Draft and negotiate fund-related documents (PPMs, Subscription Agreements, LPAs, Operating Agreements, Side Letters, Investment Management Agreements, Form ADV filings, related fund documentation).
  • Counsel investment managers and fund sponsors on regulatory, operational, and governance matters.
  • Assist with ongoing fund maintenance and investor-related matters.
  • Work directly with clients on fund structuring and fundraising initiatives.
  • Support transactional matters involving investment funds and portfolio investments.
  • Collaborate with attorneys across corporate, securities, tax, and M&A practices.
  • Participate in mergers and acquisitions matters as needed.

Corporate & Securities Associate (Private Funds)
Our client, a nationally recognized Am Law firm, is seeking a mid-to-senior level Corporate & Securities Associate (5th year and above) to join its Corporate practice. While Chicago is preferred, the position is also available in New York, Washington, D.C., Boston, Los Angeles, and San Francisco.

This is an excellent opportunity for an attorney with significant private funds and investment management experience who is seeking sophisticated work, direct client interaction, and a collaborative platform. The successful candidate will advise fund sponsors and investment managers on the formation, operation, and governance of a wide range of private investment vehicles.

Responsibilities
  • Advise clients on the formation, structuring, and operation of private investment funds and funds of funds
  • Draft and negotiate key fund-related documents, including:
    • Private Placement Memoranda (PPMs)
    • Subscription Agreements
    • Limited Partnership Agreements
    • Operating Agreements
    • Side Letters
    • Investment Management Agreements
    • Form ADV filings
    • Related fund documentation
  • Counsel investment managers and fund sponsors on regulatory, operational, and governance matters
  • Assist with ongoing fund maintenance and investor-related matters
