Job summary

Anthropic is seeking a Director, Technical Accounting – M&A to join the Finance team in the United States. You will lead accounting for mergers, acquisitions, strategic investments, and complex capital transactions, reporting to the Senior Director, Technical Accounting – M&A.

You will partner with Corporate Development, Legal, Tax, Treasury, FP&A, and leadership to ensure GAAP compliance and accurate financial statement impact, while building the close-ready processes and SOX controls.

Qualifications

• 10+ years progressive accounting experience
• 4+ years owning complex M&A and strategic investment transactions end-to-end
• Active CPA license
• Big 4 experience preferred in National Office/Deal Advisory or Capital Markets/Accounting Advisory
• Strong knowledge of US GAAP for business combinations and consolidation
• Experience with PPA, impairment modeling, and equity methods
• Ability to communicate technical accounting clearly to leadership

Responsibilities

• Execute technical accounting for business combinations, asset acquisitions, joint ventures, and related financing/equity structures
• Partner with Corporate Development to influence deal terms and outcomes
• Conduct accounting due diligence on prospective transactions and advise on GAAP and earnings implications
• Lead end-to-end purchase accounting and identify assets, liabilities, and goodwill
• Oversee post-close integration accounting and policy alignment
• Monitor consolidation and investment classification, including VIE analysis and fair value reviews
• Manage external valuation specialists and review PPA and impairment analyses
• Draft and defend technical accounting policies and memoranda
• Collaborate with Tax, Treasury and Legal on deal structuring and instruments
• Develop and refine deal-accounting operating model and SOX controls
• Prepare disclosures for quarterly/annual filings and pro forma information
• Present accounting conclusions to senior leadership and cross-functional teams
• Stay updated on SEC developments affecting M&A and investments
• Support adoption and cross-functional education
