Job summary

Nscale is seeking a Director, Securities Counsel in the United States to own the company’s securities law compliance and public reporting obligations. This full-time role collaborates with Finance, IR, Communications, and Rewards & Benefits to ensure accurate SEC filings and robust disclosures.

The candidate will advise on securities law developments, manage SOX processes, and help navigate capital markets transactions.

Qualifications

  • Qualified attorney with JD or equivalent and US license, preferably NY bar.
  • Minimum 5 years experience as a US securities lawyer, in-house or with a law firm advising public companies.
  • Strong knowledge of SEC reporting requirements including 10-K/10-Q/8-K, proxy statements, and disclosures.
  • Experience with Securities Act/Exchange Act matters and SOX compliance framework.
  • Excellent interpersonal skills and ability to work with senior stakeholders across functions.

About the Role

Nscale is looking for a Director, Securities Counsel to own the company's securities law compliance and public company reporting obligations in the US. This is a full-time, dedicated role responsible for ensuring all periodic and annual SEC filings are accurate, timely, and fully compliant, working hand-in-hand with Finance, Investor Relations, Communications, Rewards & Benefits, and all functions that feed into the reporting and filing process. You'll have the opportunity to help shape the operating standards behind a next-generation AI cloud platform, working on complex regulatory and financial reporting challenges with real ownership and impact. This is a chance to play a meaningful role in ensuring Nscale meets the highest standards of public company governance in a fast-moving environment. Responsibilities include:

  • Own the legal accuracy and quality of Nscale's SEC reporting cycle, including quarterly and periodic filings and the Annual Report and Proxy Statement.
  • Draft and review risk factor disclosures, financial statement disclosures, and other filing content to ensure compliance with SEC requirements.
  • Provide Legal review and sign-off on filings that are run through the Finance function, acting as the key legal partner throughout that process.
  • Coordinate cross-functionally with Finance, Investor Relations, Communications, Rewards & Benefits, and all functions that feed into public filings, ensuring information gathered is accurate and complete.
  • Sit within Nscale's SOX compliance process, partnering closely with SOX teams to ensure controls and reporting requirements are met.
  • Monitor the regulatory calendar to keep public filings up to code on an ongoing, periodic basis - not just during the four peak reporting windows each year.
  • Monitor regulatory developments and changes, including scanning and analysis, to ensure the company is informed about changes to the applicable regulatory framework.
  • Build strong working relationships with senior stakeholders across Legal, Finance, Investor Relations, Communications, and Rewards & Benefits.
  • Advise the business on securities law requirements, filing best practice, and emerging regulatory developments affecting public company disclosure.
  • Provide support on equity and debt capital markets transactions, including registered offerings, private placements, and convertible notes.
Who You Are:
  • Qualified attorney (JD or equivalent), licensed to practice in the US, preferably a member of the NY bar.
  • Minimum 5 years experience as a US securities lawyer.
  • Significant experience in US securities law, either in-house at a publicly listed company or at a law firm advising public company clients.
  • Strong working knowledge of SEC reporting requirements, including 10-K/10-Q/8-K filings, proxy statements, risk factor drafting, and financial statement disclosure.
  • Experience advising public companies on Securities Act and Exchange Act matters.
  • Experience working within or alongside a SOX compliance framework.
  • Excellent interpersonal skills and temperament; able to build trust and work effectively with a wide range of cross-functional senior stakeholders.
  • Meticulous attention to detail and a strong sense of ownership over accuracy and quality.
  • Based in the US.

Nice to haves:

  • Prior experience transitioning from a law firm into an in-house securities counsel role.
  • Experience supporting a fast-growing technology or infrastructure company through scaling public company reporting requirements.
  • Experience working with the Workiva and EDGAR platforms.

The range below reflects the base salary for the position. Actual compensation may vary based on job-related factors such as skill set, experience, education, and location. In addition to base salary, this role may be eligible for bonus, equity, and/or commission programs. Nscale may offer a competitive benefits package including medical, dental, vision, flexible paid time off, parental leave, and retirement plan participation.

Salary Range

$210,000 - $340,000 USD
