Job summary

Dynatrace LLC in Boston seeks an experienced corporate and transactional lawyer to lead its Corporate Legal Team, advising on financing, governance, SEC filings, and cross-border transactions while partnering with senior leadership to balance legal risk and business goals.

You will mentor a Senior Counsel and two paralegals, manage outside counsel and budgets, and drive AI-enabled processes across the organization in a fast-paced tech company.

Qualifications

• Juris Doctor degree from an ABA-accredited law school.
• Admitted to practice and in good standing in Massachusetts or another applicable state.
• 8+ years of corporate legal work experience, ideally at a law firm and in a corporate department.
• Experience advising U.S. listed public companies and leading complex corporate transactions.
• Experience managing subsidiary matters and/entity compliance.

Responsibilities

• Lead corporate financing matters, M&A, strategic investments, and capital markets transactions.
• Advise on governance, board materials, policies, and executive compensation.
• Support SEC filings and NYSE compliance.
• Mentor the Corporate Legal Team and manage external counsel and budgets.
• Design and oversee AI-enabled corporate processes and workflows.
• Provide training on corporate, securities, governance, and transactional matters.
• Monitor developments in law and governance affecting the company.
