The Deputy General Counsel (DGC) will be a key member of the Legal leadership team, supporting the General Counsel in all legal affairs. The DGC's primary responsibilities include managing hospital management contracts, overseeing the contract management system, and ensuring regulatory compliance related to vendor relationships. The role involves actively leading contract negotiations from creation to execution, engaging with senior management, providing legal advice on various issues, managing outside counsel, and leading internal legal teams.
Essential Functions
- Provide legal counsel and strategic advice to cross-functional teams and senior leadership on new initiatives, products, and other corporate, transactional, and regulatory matters.
- Maintain a comprehensive understanding of the company's industry and business to guide strategic decisions from a legal perspective.
- Draft, review, and negotiate key contracts, including customer agreements, vendor contracts, partnership agreements, and employment contracts.
- Develop and implement corporate legal strategies to support and protect company interests.
- Advise on risk management and proactively identify legal issues.
- Represent the company in legal proceedings as needed.
- Ensure compliance with applicable laws and regulations; conduct legal research to stay updated on relevant legal changes.
- Manage regulatory strategy and compliance at federal and state levels, including developing state-specific guidance.
- Collaborate with HR on employment practices, policy updates, compliance training, and new state expansions.
- Improve legal department processes to enhance efficiency and reduce legal risks.
- Hire, develop, and lead a high-performing legal team.
- Review and advise on various agreements, including corporate, employment, and commercial transactions.
- In the absence of the General Counsel, oversee legal staff operations and departmental management.
- Assist in legal operations management and oversee outside counsel relationships.
- Mentor and guide legal staff to foster professional growth.
Required Skills & Abilities
- Self-motivated, organized, and detail-oriented.
- 10-14 years of legal experience, with at least four years in an in-house role, including significant complex contracting experience.
- Experience handling complex corporate, commercial, and regulatory legal issues.
- Ability to develop innovative legal and risk management strategies and provide strategic thought partnership.
- Skilled in tailoring legal advice for diverse organizational levels.
- Strong leadership and management skills, with experience building and leading legal teams.
- Exceptional negotiation skills, especially in managing complex agreements.
- Experience in corporate governance, risk management, and compliance.
- Knowledge of relevant statutes, rules, and regulations, preferably within a specified industry.
- Excellent communication and interpersonal skills for effective engagement across all organizational levels and external parties.
Required Credentials
- JD from an accredited law school.
- 10-14 years of legal experience, including at least four years in an in-house legal role.
- Experience managing complex legal matters in corporate, commercial, and regulatory areas.
- Proven leadership in legal strategy development and risk management.
- Ability to adapt legal advice to various organizational levels.
