Join us as a General Counsel at ATCC

Ready to shape the future of science and global health? ATCC, a leading nonprofit biological resources and standards organization, is seeking a General Counsel to oversee our organization's legal functions. As the primary legal counsel, you will represent our organization and serve as a key member of the senior management team, providing expert legal advice and strategy. This is a remote role requiring prior experience navigating the complex regulatory landscape surrounding the acquisition, transfer, and use of biological materials.

Responsibilities

1. Legal Counsel: Provide legal counsel and advice for the organization on various business matters, including contracts, litigation, liability, and insurance. Identify legal risks, develop mitigation strategies, and advise the executive team and Board of Directors. Interpret legal documents and assist in preparing responses to inquiries. Protect the organization from legal action and manage legal defense.
2. Legal Operations and Compliance: Develop plans for managing legal matters, oversee relationships with outside counsel, and ensure compliance with laws and regulations, including import/export regulations related to biological materials.
3. Corporate Governance: Manage and advise on corporate governance, business transactions, licensing, employment law, regulatory matters, and contract management. Supervise drafting and negotiation of agreements, including those related to biological material transfer.
4. Legal Documentation and Communication: Responsible for legal briefs, internal communications, and legal documentation.

Qualifications

• Juris Doctor (JD) degree with 12+ years of experience.
• Extensive experience in corporate governance, compliance, and risk management.
• Proven experience as legal counsel supporting biological material transfer, corporate law, contracts, employment law, and IP.
• Strong background in managing legal operations, developing plans, and managing outside counsel relationships.
• Excellent drafting, review, and negotiation skills for various agreements.
• Deep knowledge of applicable laws and regulations at all levels.
• Exceptional strategic, problem-solving, and communication skills.
• Ability to advise senior management and the Board proactively.
