The Deputy General Counsel (DGC) will be a key member of the Legal leadership team, assisting the General Counsel in all aspects of legal affairs. The DGC will primarily oversee hospital management contracts, the contract management system, and regulatory compliance related to vendor relationships. This role involves active engagement in contract negotiations, often leading negotiations from contract creation to execution. The DGC will interact regularly with senior management, providing legal advice, managing outside counsel, and leading internal teams.
Essential Functions
- Provide legal counsel and advice to cross-functional stakeholders and senior leaders, shaping the company’s legal strategy on various matters including new initiatives, products, and regulatory issues.
- Maintain an in-depth understanding of the company’s business and industry to guide strategic decisions from a legal perspective.
- Draft, review, and negotiate critical contracts such as customer agreements, vendor contracts, partnership agreements, and employment contracts.
- Develop and lead the company’s legal strategy to support and protect its interests.
- Implement risk management strategies and advise proactively on potential legal issues.
- Represent the company in legal proceedings as needed.
- Ensure compliance with applicable laws and regulations, conducting legal research to stay updated on relevant legal changes.
- Manage federal and state regulatory strategies and develop state-specific compliance guidance.
- Collaborate with HR on employment practices, handbook updates, compliance training, and new state expansions.
- Enhance legal department processes to improve efficiency and reduce legal risks.
- Hire, develop, and lead a high-performing legal team.
- Review and advise on various agreements, including corporate, employment, and commercial transactions.
- In the absence of the General Counsel, supervise and organize the legal staff and their work.
- Assist in managing legal department operations and litigation strategies, including managing outside counsel relationships.
- Mentor and guide legal staff to foster professional growth.
Required Skills & Abilities
- Self-motivated, organized, and detail-oriented.
- 10-14 years of legal experience, with at least four years in an in-house role, and substantial experience in complex contracting.
- Experience handling complex corporate, commercial, and regulatory legal issues.
- Proven leadership in developing innovative legal and risk management strategies.
- Ability to adapt legal advice to different organizational levels.
- Strong leadership and team management skills.
- Exceptional negotiation skills, especially with complex deals and agreements.
- Experience in corporate governance, risk management, and compliance.

Required Credentials
- JD from an accredited law school.
- 10-14 years of legal experience, including at least four years in an in-house legal role.
- Experience managing complex legal matters in corporate, commercial, and regulatory contexts.
- Proven leadership in legal strategy and risk management.
- Ability to communicate effectively at all organizational levels.
