Overview
Are you an experienced corporate paralegal who enjoys the fast pace of public company work? Our client, a global technology company, is seeking an interim Corporate / Securities Paralegal to support U.S. securities compliance, corporate governance, and subsidiary management. This role reports to the VP, Corporate & Securities Counsel and offers a broad mix of governance, SEC, and transactional work. Responsibilities
- Support compliance with U.S. securities laws, including preparing and reviewing Section 16 filings, proxy statements, and other SEC reports.
- Assist with annual shareholder meetings and director/officer questionnaires.
- Help maintain and implement corporate governance practices and policies, including NASDAQ listing requirements.
- Manage U.S. and Americas subsidiary governance, including entity formations, dissolutions, annual filings, and board/shareholder actions.
- Maintain global corporate records and director/officer data.
- Support corporate transactions, including M&A, capital markets, and restructuring projects.
- Coordinate document execution, notarizations, and legalizations across global jurisdictions.
- Identify opportunities to improve workflows and operational efficiency.
Qualifications
- 5+ years of corporate paralegal experience, ideally with both a major law firm and an in-house public company.
- Hands‑on experience and in‑depth knowledge of U.S. public company reporting (SEC, Section 16) and entity management.
- Proficiency with DocuSign, Google Workspace, Adobe Acrobat, and online entity management platforms.
- Exceptional attention to detail, organization, and ownership mindset.
- Collaborative approach and ability to manage multiple priorities in a fast‑paced environment.

- Full‑time, 40 hours per week
- Location: Remote or hybrid in Dallas (3 days/week onsite)
- Compensation: Competitive hourly rate, W-2 through Legalpeople
