• 7+ years of experience as a paralegal in a corporate legal environment or large law firm.
• Strong knowledge of entity management, corporate governance, finance, and securities law.
• Experience with regulatory filings and board preparation is required.
• Excellent organizational, communication, and legal research skills.
• Proactive, detail-oriented, and able to manage multiple priorities in a collaborative team setting.

Responsabilidades

• Support the Vice President and Corporate Secretary on corporate, securities, board governance, and various regulatory legal matters.
• Assist with preparation and posting of agendas, presentations, and minutes for Board of Directors and Committee meetings.
• Serve as the primary administrator for the company’s electronic Board portal.
• Support annual proxy statements and stockholder meetings, including director/officer questionnaires.
• File annual corporate governance documents with the NYSE, including affirmations and dividend notices.
• Manage regulatory filings and ensure compliance with applicable requirements.
• Assist with mergers, acquisitions, and other corporate transactions through due diligence and document preparation.
• Collaborate with internal teams (Legal, Capital Markets, etc.) to provide corporate documentation and support business initiatives.
• Conduct legal research and assist attorneys with special projects.

What You’ll Do:

Qualifications

What You’ll Need:

• Bachelor’s degree in paralegal studies or related field, or equivalent experience required.
• 7+ years of experience as a paralegal in a corporate legal environment or large law firm
• Strong knowledge of entity management, corporate governance, finance, and securities law
• Prior experience completing regulatory filings
• Prior Board preparation experience required/prior Board system administrator experience is a plus
• Exceptional organizational, communication, and legal research skills
• Proactive, detail-oriented, and able to manage multiple priorities in a collaborative team setting
