Qualifications

  • Bachelor’s degree in Business Administration, Legal Studies, or related field preferred.
  • 5+ years of executive administrative or paralegal support to C-suite executives, preferably in legal dept.
  • Experience supporting Chief Legal Officer, General Counsel, Corporate Secretary, or Board of Directors preferred.
  • Experience handling confidential legal, employment, corporate governance, or executive information.
  • Experience coordinating Board meetings and preparing Board materials preferred.

Responsibilities

  • 75% Board of Directors & Corporate Governance support: manage logistics for Board/Committee meetings, schedule, facilities, virtual arrangements; prepare and distribute confidential Board materials; maintain Board portal and update documents; collect reports from executives for Board books; track action items and resolutions; maintain governance records; assist with onboarding and shareholder meetings; oversee execution and retention of resolutions and certifications.
  • 10% Operational Excellence: identify process improvements within Legal, build relationships across Legal, HR, Finance, and Executive Leadership; anticipate needs and propose solutions.
  • 10% Executive Admin Support to Deputy General Counsel & Head of Corporate Legal Affairs: calendar management, travel planning, expenses; facilitate legal operations, meeting coordination, document management, budgeting, vendor support.
  • 5% Back-up to Executive Legal Assistant: calendar/travel/expenses, meeting coordination, document management, contract administration, budgeting, vendor support.

Job Description
About The Position:

The Executive Assistant, Corporate Governance & Board Operations provides high-level administrative and governance support to the Deputy General Counsel and legal leadership team, focusing on board management and corporate governance. As the central liaison for the Board of Directors, this role ensures seamless communication and meticulous preparation of materials for executive meetings. The ideal candidate is a proactive, highly organized professional who handles competing demands with exceptional judgment, strict confidentiality, and high integrity.

Hybrid 3x a week- NYC In-office Expectations:

This position is hybrid in-office, with the ability to work remotely for up to 2 days per week.

This role interacts closely with executive leadership, the Board of Directors, and external stakeholders, representing the legal department with professionalism and poise.

About The Position’s Contributions:
75% Board of Directors & Corporate Governance Support:
  • Manage logistics for Board and Committee meetings, including scheduling, facilities, and virtual arrangements.
  • Prepare and distribute confidential Board materials, agendas, and presentations per established timelines.
  • Maintain the Board portal to ensure secure and timely document updates.
  • Coordinate the collection of reports and presentations from executive leadership for Board books.
  • Track Board action items, resolutions, and follow-up requests to ensure timely completion.
  • Maintain official corporate records, including minutes, resolutions, and governance documentation.
  • Assist with governance initiatives, such as calendars, director onboarding, and shareholder meetings.
  • Oversee the execution and retention of resolutions, written consents, and executive certifications.
10% Operational Excellence:
  • Identify opportunities to improve administrative and operational processes that increase efficiency within the Legal department.
  • Build collaborative relationships across Legal, Human Resources, Finance, Executive Leadership, and other business functions.
  • Anticipate business needs and proactively recommend solutions that enhance executive effectiveness and department operations.
10% Executive Admin Support to Deputy General Counsel, Head of Corporate Legal Affairs & Litigation:
  • Provide comprehensive executive support to the Deputy General Counsel (calendar, travel, expenses, and communications)
  • Facilitate legal operations (meeting coordination, document management, contract administration, budgeting, and vendor support).
5% Executive and Legal Team Support Back-Up:
  • Serve as back-up coverage during the Executive Legal Assistant's absence to provide comprehensive executive support to the SVP and General Counsel as needed including: calendar, travel, expenses, and communications, meeting coordination, document management, contract administration, budgeting, and vendor support.
The Role’s Minimum Qualifications and Job Requirements:
  • Education: Bachelor’s degree in Business Administration, Legal Studies, or a related field preferred; or equivalent combination of education and professional experience.
  • Experience: 5+ years of executive administrative or paralegal experience supporting C-suite executives, preferably within a Legal department.
  • Experience supporting a Chief Legal Officer, General Counsel, Corporate Secretary, or Board of Directors strongly preferred.
  • Experience handling highly confidential legal, employment, corporate governance, or executive information.
  • Experience coordinating Board of Directors meetings and preparing Board materials preferred.
  • Experience working in a publicly traded company or highly regulated environment is a plus.
Specific Knowledge, Skills, Certifications and Abilities:
  • Advanced proficiency in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint), Zoom, and Google Workspace ( Gmail, Google Drive, Google Sheets, Google Docs, Google Slides.
  • Demonstrated ability to handle highly confidential, proprietary, and sensitive information with absolute discretion.
  • Demonstrated ability to exercise sound judgment, professionalism, and discretion.
  • Exceptional written, verbal, and interpersonal communication skills, with the ability to interface confidently with C-suite executives and board members.
  • High level of organizational skill with a proven ability to prioritize heavy workloads, manage multiple deadlines, and maintain meticulous attention to detail and accuracy.
  • Strong problem-solving skills with the ability to anticipate executive needs.
  • Ability to build strong relationships across all levels of the organization, including executive leadership and Board members.
  • Ability to work independently while maintaining flexibility in a dynamic, fast-paced environment.

Pay Range Hourly: New York

The pay range above represents the anticipated low and high end of the pay range for this position and may change in the future.
