Job summary

Ice Miller LLP in Cleveland, OH is seeking a paralegal with corporate or other transactional experience for our business group. The role requires handling time-sensitive materials while maintaining strict confidentiality in a fast-paced environment.

The ideal candidate has at least three years of complex corporate-paralegal experience, a Bachelor’s degree (paralegal certificate preferred), and the ability to manage multiple tasks independently or with attorneys.

Qualifications

• Paralegal with corporate/transactional experience in a fast-paced environment.
• Experience handling confidential materials and time-sensitive documents.
• Strong organizational and multitasking abilities.

Responsibilities

• Prepare organizational documents: formation, qualifications, articles, dissolution, minute books, stock certificates and ledgers.
• Prepare board and stockholder consents for organizational and transactional matters.
• Assist with regulatory filings (SEC forms, state filings) and tax forms (EINs).
• Research jurisdictions for qualification and prepare qualification/withdrawal filings.
• Draft and file UCC statements, amendments, and termination statements.
• Assist closings: tracking signatures, assembling closing books, distributing certificates.
• Manage deadlines, calendars, and liaise with service providers for registered agent services.
