Job summary

Ice Miller LLP is seeking an experienced paralegal with a background in corporate or other transactional matters to join our business group in Chicago. The role requires handling time-sensitive materials with strict confidentiality in a fast-paced setting.

The successful candidate will have a minimum of three years’ experience in complex corporate law, particularly Mergers & Acquisitions and Private Equity, with a bachelor’s degree or paralegal certificate.

Qualifications

• Bachelor’s degree or paralegal certificate is required or preferred.
• Minimum of three years’ complex corporate law and transactional paralegal experience in Mergers & Acquisitions and Private Equity.
• Ability to handle time-sensitive materials with strict confidentiality.

Responsibilities

• Prepares organizational documents for filing in various jurisdictions (formation, qualifications, articles, dissolution).
• Assists with transactional documents, board and stockholder consents.
• Filing with regulatory bodies, Form D, Form SS-4 and EINs.
• Research jurisdictions for qualification and prepare / file related applications.
• Manage closing books, signature pages, and distribution of closing documents.
• Coordinate with corporate service providers and maintain calendars and deadlines.
