Job summary

Ice Miller LLP is seeking a paralegal with corporate or transactional experience for our business group. The role demands handling time-sensitive materials with confidentiality in a fast-paced setting, supporting attorneys across regulatory filings, closings, and UCC matters.

The ideal candidate has a bachelor’s degree (paralegal certificate preferred) and at least three years of complex corporate law/transactional paralegal experience, with strong organizational skills and initiative.

Qualifications

• Bachelor’s degree required / paralegal certificate preferred.
• Minimum of three years’ complex corporate law and transactional paralegal experience, specifically on M&A and Private Equity matters.
• Demonstrated commitment to delivering quality legal services.

Responsibilities

• Prepares organizational documents, including entity formation, entity qualifications, articles of incorporation and dissolution, minute books.
• Prepares board consents and stockholder consents for organizational and transactional matters.
• Assists with regulatory filings, including Form D and state filings.
• Completes and files Form SS-4s to obtain EINs and other tax forms.
• Conducts jurisdiction research for qualification and filings.
• Prepares and files qualification and withdrawal applications.
• Calculates Delaware franchise tax and other jurisdictions’ taxes.
• Heavy client interaction and support, handling matters independently or with attorneys.
• Interfaces with corporate service providers for registered agent services.
