Job summary

Ice Miller LLP seeks a paralegal with corporate/transactional experience for our business group. Fast-paced environment, confidentiality required, and active client interaction are essential.

The role involves formation/dissolution filings, consents, regulatory filings, tax forms, and close coordination of deals. Requires a JD-aligned education path and 3+ years of relevant paralegal work.

Qualifications

• Bachelor’s degree required; paralegal certificate preferred.
• Minimum of three years’ complex corporate law and transactional paralegal experience (M&A, Private Equity).
• Ability to work in a fast-paced environment, coordinating multiple projects.
• Demonstrates resourcefulness and flexibility.
• Strong organizational skills and attention to detail.
• Ability to work independently and as part of a team.

Responsibilities

• Prepare organizational documents for entity formation and dissolution.
• Prepare board and stockholder consents (organizational and transactional).
• Assist with regulatory filings (Form D, SEC/state filings).
• Complete Form SS-4s to obtain EINs and other tax forms.
• Research jurisdictions for qualification and file qualification/withdrawal applications.
• Handle closing tasks, including closing certificates/books and signature pages.
• Calculate Delaware franchise tax and taxes for other jurisdictions.
• Maintain calendars and monitor deadlines; liaise with clients and attorneys.
