Job summary

DLA Piper is seeking a Paralegal - Corporate to support attorneys with a range of corporate duties and document drafting. The role coordinates with clients, outside counsel and vendors, including capitalization tables and stock ledgers.

The position offers a hybrid work schedule and may sit in multiple offices, including New York. Strong experience with equity software, SEC filings and corporate maintenance is preferred.

Qualifications

• Proficient in Word, Excel and Outlook; experience with Relativity, LexisNexis, Westlaw or similar.
• Excellent verbal, written and interpersonal skills to interact with staff, paralegals, attorneys and clients.
• Ability to work in a fast-paced environment and coordinate with multiple offices.

Responsibilities

• Maintain capitalization tables and stock ledgers for corporate matters.
• Work with Carta, Pulley and related software for equity records.
• Prepare Section 16 filings and related disclosures.
• Organize corporate documents for transactions and annual reports.
• Assist formation of entities (Corporations, LLCs, 501(c)(3)).
• Prepare closing volumes and filings with Secretary of State and other agencies.
• Maintain minute books and stock option plan records.
• Perform due diligence and assist with closings and checklists.
• Coordinate with attorneys, clients and offices across the firm.
