Job summary

Salesforce is seeking a Corporate Paralegal to support a legal team focused on corporate governance and securities matters. The position reports directly to the Senior Corporate Counsel, Corporate Governance & Securities, and will work closely with internal clients, the SVP & Associate General Counsel.

The successful candidate will be detail-oriented, responsive in a fast-paced environment, and able to juggle competing priorities.

Qualifications

• 3+ years paralegal experience in corporate and/or M&A.
• Strong organizational skills and attention to detail in a fast-paced environment.
• Knowledge of public company governance requirements and corporate documents.

Responsibilities

• Manage domestic subsidiary matters: formations, dissolutions, conversions, governing documents, and filings.
• Support Board and Committee meetings: agendas, materials, and minutes.
• Prepare and review D&O questionnaires and related party updates.
• Assist with director and officer onboarding and offboarding.
• Assist with document production for SOX compliance, internal audits, and special projects.
• Provide information and organize records for SEC filings (Proxy Statement, Forms 10-K/10-Q).
• Prepare and file executive officer Section 16 filings.
• Assist with securities matters, including releases of restricted stock and related opinions (mergers & acquisitions support).
• Help develop and improve policies, processes, and procedures.
