Etched in San Jose is seeking a Corporate Paralegal to own essential legal workflows as the company scales. You will collaborate with the Legal team and leaders across the business on governance, financings, strategic transactions, and board matters.

The role emphasizes building systems that accelerate legal processes while preserving accuracy. You will manage corporate records, contracts, and entity management, coordinating with internal teams and outside counsel to ensure timely completion of

Qualifications

• 4+ years as a corporate paralegal in a high-growth environment
• Experience supporting venture financings, M&A, or strategic transactions
• Strong governance, Board processes, and entity management experience
• Experience using Carta, Ironclad, DocuSign and virtual data rooms

Responsibilities

• Maintain corporate records, minute books, and governance materials
• Support Board processes: materials, resolutions, minutes, approvals, equity plan issuances
• Manage diligences, data rooms, signatures, and closing binders for financings and strategic transactions
• Coordinate with Legal, Finance, People, executives, and outside counsel to move workstreams
• Maintain subsidiary/entity records and corporate filings, annual reports, and foreign qualifications
• Support securities and equity matters, including director/officer questionnaires and stockholder actions
