Job summary

Axcelis Technologies in Beverly, MA is seeking an experienced Corporate Paralegal to support US/global subsidiary governance, corporate records, and contract workflows in a hybrid office setting (2-3 days in office per week).

Role reports to the Associate General Counsel and partners with the General Counsel; responsibilities include governance, compliance, legal operations, equity administration, and board materials preparation.

Qualifications

• 4+ years of relevant experience in a corporate paralegal role at a public company or law firm.
• Paralegal certificate or bachelor’s degree.
• Strong experience in corporate and compliance administrative responsibilities, including global entity management, corporate governance and compliance processes, and board of directors support.
• Excellent written and verbal communication skills; ability to handle confidential information.
• Attention to detail and ability to manage multiple priorities and projects.

Responsibilities

• Support US and global subsidiary management and governance documents, including minutes, formation documents, and entity structure charts.
• Serve as key contact for corporate records and governance requests from other departments, coordinating responses to KYC requests and other diligence matters.
• Assist with corporate contract workflow management, maintaining templates and DocuSign requests.
• Provide legal operations support, including training programs, subscriptions, tracking and reporting of outside counsel billing, and process improvement initiatives.
• Support board of directors and committees, including preparing resolutions and written consents and assisting with board materials.
• Partner with internal teams on equity administration, compliance, and matters intersecting with corporate legal functions.
