Job summary

AMETEK, Inc. is seeking a Corporate Paralegal to support its in-house legal team and oversee essential corporate governance processes. You will work under the direction of Corporate Counsel within a global S&P 500 company.

The role involves managing 175 domestic subsidiaries, preparing minutes and filings, and maintaining org charts and databases. Hybrid schedule: 4 days in the office, 1 day remote.

Qualifications

• High School Diploma/GED required; college degree preferred.
• Paralegal Certificate required.
• Minimum of 7-10 years of paralegal or relevant experience, preferably in a corporate law department. Translatable experience includes contracts, intellectual property/patents, and/or generalist tasks.
• Notary Public certification required.
• Microsoft Office Suite, including Visio.

Responsibilities

• Manage ≈175 domestic subsidiaries.
• Prepare and maintain minutes, resolutions, various corporate filings, and other corporate records for AMETEK’s domestic entities.
• Assist with the preparation of board meeting materials for various domestic AMETEK entities, including maintenance of minute books.
• Manage, update, and circulate entity organizational charts and other company databases with respect to domestic subsidiaries.
• Notarize documents (and obtain apostille/legalization as required).
• Support post-closing M&A activities by preparing acquisition summaries and managing post-closing calendar for deadlines.
• Prepare and file Forms 3, 4 and 5 for Section 16 officers.
• Prepare and submit AMETEK’s application to renew export license with the government.
• Filing, copying, records retention and other administrative tasks.
• Various other duties as assigned.
