Qualifications

• 5+ years of corporate paralegal experience required.
• Strong experience with entity formation and corporate governance/maintenance.
• Experience supporting transactional closings and preparing closing binders.
• Highly organized with strong attention to detail and ability to manage multiple matters and deadlines.
• Must be able to work in-office in Charleston, SC.

Responsibilities

• Form corporations, LLCs, partnerships, and other business entities, including preparing and filing organizational documents.
• Handle ongoing entity maintenance, including annual filings, amendments, resolutions, consents, and corporate records.
• Assist attorneys with corporate and transactional matters from formation through closing.
• Prepare, organize, and finalize closing binders following completed transactions.
• Maintain corporate minute books, entity records, and organizational documents.
• Coordinate filings and obtain certificates of good standing and other corporate documentation as needed.
