Job summary

Jobot is seeking a Corporate Paralegal for a CA-based regional firm in Sacramento. You will conduct legal research, manage regulatory filings, and support corporate transactions from formation to dissolution, ensuring accuracy and client readiness.

The ideal candidate has paralegal certification and strong organizational skills, with experience in corporate and healthcare settings. This full-time role requires meticulous documentation and collaboration with attorneys and regulators.

Qualifications

  • 0–5 years professional office experience (paralegal background preferred; corporate and healthcare experience a plus)
  • Paralegal certification from an ABA-accredited institution
  • Proficiency with Microsoft Office Suite, including intermediate-to-advanced spreadsheet skills
  • Strong written and verbal communication ability
  • Demonstrated organizational and project management capability
  • Attention to detail and commitment to accuracy

Responsibilities

  • Conduct legal research supporting attorney work product and client objectives
  • Evaluate healthcare provider credentialing, licensing, and regulatory compliance pathways
  • Communicate with regulatory agencies and officials regarding application status, translating client goals into clear communications
  • Prepare regulatory and corporate filing documentation with accuracy and client readiness
  • Track sequencing and dependencies of regulatory approvals and corporate milestones for healthcare entities
  • Maintain and update precedent forms, templates, and documentation libraries
  • Record and track billable hours per firm standards
  • Support entity formation, amendment, merger, and dissolution filings and documentation
  • Draft initial transactional documents including board and stockholder resolutions and closing certificates
  • Conduct due diligence tasks: document review, contract analysis, corporate record summaries
  • Manage transaction execution logistics: closing checklists, signature coordination, document assembly
  • Maintain corporate governance records, including minute books and capitalization tables
  • Monitor regulatory and filing deadlines for timely compliance
  • Serve as primary contact between attorneys, clients, government agencies, and service providers
  • Organize post-closing documentation and assist in closing binder preparation
  • Complete additional projects and responsibilities as directed

Key Responsibilities
  • Conduct legal research supporting attorney work product and client objectives
  • Evaluate healthcare provider credentialing, licensing, and regulatory compliance pathways, including applications involving complex entity structures and agency-specific requirements
  • Communicate with regulatory agencies and officials regarding application status, translating client goals into clear, professional regulatory communications
  • Prepare regulatory and corporate filing documentation with accuracy, completeness, and client readiness, identifying form overlaps and requirement inconsistencies
  • Track sequencing and dependencies of regulatory approvals and corporate milestones, particularly for healthcare entities
  • Maintain and update precedent forms, templates, and documentation libraries to ensure consistency and efficiency
  • Record and track billable hours per firm standards
  • Support entity formation, amendment, merger, and dissolution filings and documentation
  • Draft initial transactional documents including board resolutions, stockholder resolutions, closing certificates, and ancillary M&A documents
  • Conduct due diligence tasks: document review, contract analysis, corporate record summaries, and evidence organization
  • Manage transaction execution logistics, including closing checklists, signature coordination, and document assembly
