Job summary

Jobot seeks a Corporate/Business Transactional Paralegal in Clayton, MO to support the Business Practice Group across complex commercial transactions, real estate, mergers and acquisitions, and loans. Salary range $70,000–$90,000 per year with a hybrid schedule and strong benefits.

You’ll assist attorneys through due diligence, document review, data room organization, and closing coordination, and help prepare and file entity formation documents across jurisdictions.

Qualifications

  • Legal studies degree or paralegal certification required.
  • Strong written and verbal communication skills.
  • Ability to organize and prioritize multiple tasks under deadlines.
  • Attention to detail with proofreading and document review abilities.
  • Experience reviewing, organizing, and analyzing legal documents.

Responsibilities

  • Support attorneys in mergers and acquisitions, including due diligence and closing coordination.
  • Prepare and manage purchase agreements, stock and asset transfers, and closing documents.
  • Assist with entity formations filings for corporations, LLCs, and partnerships.
  • Maintain corporate records, resolutions, and ownership structures.
  • Support commercial real estate transactions and closings with title companies and lenders.
  • Coordinate closing timelines, signatures, and closing binders; assist governance matters.

Job Details
What You’ll Do
  • Support attorneys in all phases of mergers and acquisitions, including due diligence, document review, data room organization, and closing coordination
  • Assist with a range of corporate transactions, including preparation and management of purchase agreements, stock and asset transfers, and related closing documents
  • Assist in the preparation and filing of documentation for entity formations, including corporations, LLCs, and partnerships across multiple jurisdictions
  • Maintain corporate records and minute books, including resolutions, ownership structures, and ongoing compliance filings
  • Support commercial real estate transactions and closings, including preparation of closing documents and coordination with title companies, lenders, and outside parties
  • Manage closing processes, including timelines, signature coordination, and preparation of closing binders
  • Assist with ongoing corporate governance and compliance matters
You Should Have
  • A 4-year degree in Legal Studies, or a 4-year Bachelor's degree with a Paralegal Certificate, or equivalent experience
  • Knowledge of legal principles and practices at a level normally acquired through formal paralegal training
  • Ability to organize and prioritize numerous tasks and complete them under time constraints
  • Ability to proofread material for contextual, grammatical, typographic, or spelling errors
  • Ability to review, organize, and analyze documents
  • Excellent communication and drafting skills
  • Advanced knowledge of Microsoft Products
  • Proficiency in document management systems
