Job summary

Epiq Counsel is seeking a Corporate Paralegal to support its Legal Department on a hybrid basis (minimum 3 days onsite) out of its offices in Purchase, New York. This role focuses on governance, entity management, compliance, and legal operations within a global corporate structure.

The ideal candidate has 3+ years of corporate paralegal experience, knowledge of filings and records, and strong cross-functional collaboration skills.

Qualifications

  • Bachelor's degree or paralegal certification or equivalent experience.
  • 3+ years in corporate paralegal roles within in-house or firm settings.
  • Experience with corporate governance, filings, and entity management.
  • Knowledge of records management and governance documentation.
  • Strong organizational and cross-functional collaboration skills.
  • Attention to detail and ability to work independently with sound judgment.

Responsibilities

  • Maintain subsidiary records, corporate books, and entity databases.
  • Prepare corporate resolutions, meeting materials, and certifications.
  • Coordinate director and officer appointments and other entity actions.
  • Manage corporate records, filings, and governance documents.
  • Support banking signatory updates, KYC, and related admin tasks.
  • Collaborate with Finance, Tax, HR, and other functions on governance requests.
  • Update organizational charts and respond to internal/auditor requests.
  • Coordinate legal team meetings and follow-up activities.
  • Assist with process improvements and AI-enabled workflows.
  • Provide general in-house legal department support.

Job description

Our client, a global leader in the financial services and technology industry, is seeking an experienced Corporate Paralegal to support its Legal Department on a hybrid basis (minimum 3 days/week onsite) out of its offices in Purchase, New York. This near-term opportunity offers the chance to join a sophisticated in-house legal team during a period of significant corporate integration activity and expanded cross-functional legal initiatives.

This professional will play a key role supporting corporate governance, entity management, compliance, and organizational legal operations across a global corporate structure. The ideal candidate will have experience maintaining legal entities, supporting corporate governance activities, coordinating filings and corporate records, and partnering with stakeholders across Legal, Finance, Tax, Human Resources, and other business functions.

Key Responsibilities
  • Maintain and update subsidiary records, corporate books, and entity management databases, including Teams, iManage, Workday, hCue, and other corporate governance systems.
  • Support corporate governance and compliance activities, including the preparation of corporate resolutions, annual meeting materials, certifications, and related documentation.
  • Facilitate director and officer appointments, elections, resignations, and other entity maintenance activities.
  • Manage corporate records, routine corporate filings, document administration, and related governance documentation.
  • Coordinate banking signatory updates, account administration documentation, know-your-customer (KYC) requirements, and related corporate support activities.
  • Partner with cross-functional stakeholders, including Finance, Tax, Human Resources, Payroll, and Benefits teams, to address corporate legal requests and operational needs.
  • Manage recurring organizational chart updates and respond to requests from internal stakeholders, auditors, and other business partners while appropriately escalating issues as needed.
  • Coordinate legal team meetings, agendas, and follow-up activities to support efficient department operations.
  • Assist with process improvement initiatives, including leveraging technology and AI-driven solutions to improve efficiency, accuracy, and team workflows.
  • Provide general legal department support to help ensure the timely delivery of high-quality legal services across the organization.
Qualifications
  • Bachelor's degree, paralegal certificate, or equivalent combination of education and relevant professional experience.
  • Minimum of 3 years of corporate paralegal experience within an in-house legal department or corporate law firm environment.
  • Demonstrated experience supporting corporate governance, entity management, subsidiary maintenance, and corporate compliance activities.
  • Working knowledge of corporate records management, corporate filings, governance documentation, and legal entity administration.
  • Experience supporting complex organizations with multiple legal entities and cross-functional stakeholders.
  • Strong organizational and project management skills with the ability to manage competing priorities in a fast-paced environment.
  • Excellent written and verbal communication skills and the ability to collaborate effectively across Legal, Finance, Tax, Human Resources, and other business functions.
  • Exceptional attention to detail with a commitment to accuracy and quality in all documentation.
  • Ability to work independently, exercise sound judgment, and proactively identify and resolve issues while knowing when escalation is appropriate.
  • Active Notary Public commission strongly preferred.
  • Experience identifying and implementing process improvements, including the use of AI-enabled tools and technology solutions, preferred.
  • Epiq Counsel partners with industry-leading clients in support of their sophisticated interim talent needs. Must be interested in practicing in an alternative, fixed-term legal services model.
