Job summary

Buchanan is seeking a Corporate Paralegal to join a Top 50 Am Law firm, with offices in Boston, San Francisco or New York. You will manage complex projects, support IPO transactions, and prepare and review agreements and SEC filings.

Ideal candidates have a Bachelor's degree, a paralegal certificate preferred, at least two years of corporate paralegal experience, and strong research and communication skills. Proficiency with Westlaw/Lexis and Microsoft Office is essential.

Qualifications

  • Bachelor’s degree required; a paralegal certificate from an ABA-approved program is preferred.
  • At least two years of corporate paralegal experience.
  • Strong understanding of corporate and securities law, including SEC regulations.
  • Proficiency with Microsoft Outlook, Excel and PowerPoint.
  • Experience with research and corporate platforms such as Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, Shareworks and Carta.
  • Strong written and verbal communication skills.
  • Excellent organizational and time-management skills, with the ability to manage multiple projects and deadlines.
  • Prior experience in a law firm or financial-services environment, particularly involving capital markets or corporate finance, is preferred.

  • Prepare correspondence, audit letter responses, working group lists and closing checklists
  • Maintain confidential client information and improve processes for storing and retrieving materials
  • Ensure documents and filings are accurate, complete and properly formatted

Experience with IPOs and public-company matters is a plus, including registration statements, numerical backup spreadsheets, beneficial ownership tables, Exchange Act reporting, Section 16 filings, Rule 144 and legend-removal letters, transfer-agent onboarding, stock-exchange applications, FINRA filings, selling-stockholder matters, closing documents, closing volumes, board resolutions and minutes.
