  • 7+ years of corporate paralegal experience at a law firm.
  • Strong working knowledge of corporate tasks for private companies.
  • Substantive understanding of corporate governance matters and transactional work.
  • Experience with securities and corporate laws.
  • Experience in capitalization management platforms such as Carta and Shareworks.
  • Proficient with Excel spreadsheets.
  • Detail-oriented and organized with excellent analytical skills.
  • Self-starter who can prioritize and advance multiple projects under deadline pressure.

Responsibilities

  • Prepare corporate documents, including charter documents and board/shareholder actions.
  • Process stock and option administration; draft agreements and prepare reports.
  • Manage capitalization processes and records in equity platforms; respond to client questions.
  • Conduct research to prepare and manage corporate and securities filings.
  • Prepare and assist with EDGAR code applications and accounts.
  • Assist with D&O questionnaires and proxy statements.
  • Perform public company governance filings and related tasks.
  • Communicate with clients, holders, directors, investors, and auditors.
  • Handle due diligence and closing processes.
  • Organize client records and maintain files; input time entries daily.

Job description

A global law firm is looking for a Senior Paralegal to sit in their New York City office and work with attorneys in their dynamic Corporate Department. The Senior Paralegal will be an integral part of the team in supporting clients with formations, financings, mergers, public offerings, and client governance.

Duties include the below:
  • Prepare corporate documents, such as charter documents and board and shareholder actions
  • Process stock and option administration, including drafting agreements and preparing reports
  • Manage capitalization processes and records in equity management platforms, including Rule 701 analysis and answering questions from clients
  • Conduct research to prepare and manage corporate and securities filings
  • Prepare and assist with EDGAR code applications and accounts
  • Assist with D&O questionnaires and proxy statements
  • Perform public company governance filings and tasks, such as Section 16 reporting and legend removal requests
  • Communicate with clients, holders, directors, investors, and auditors
  • Handle due diligence and closing processes
  • Compile and distribute closing documents and closing volume
  • Assist with annual compliance matters
  • Provide support for franchise taxes and notices to clients
  • Handle daily corporate maintenance work
  • Organize client records and maintain files
  • Input time entry daily
REQUIRED SKILLS AND EXPERIENCE
  • Bachelor’s Degree or Paralegal Certificate at accredited college or university
  • 7+ years of corporate paralegal experience at law firm
  • Strong working knowledge of corporate tasks for private companies
  • Substantive understanding of corporate governance matters and transactional work
  • Experience with securities and corporate laws
  • Experience in capitalization management platforms such as Carta and Shareworks
  • Proficient with Excel spreadsheets
