Our client is seeking an experienced Corporate Paralegal to join a busy and sophisticated corporate practice supporting entity management, equity administration, securities filings, and transactional matters.
This is an excellent opportunity for a detail-oriented paralegal who enjoys owning processes, working closely with attorneys, and playing an integral role in getting corporate transactions across the finish line. You’ll have hands-on responsibility for cap tables, corporate records, securities filings, signature coordination, closing documents, and virtual data rooms.
Key Reponsibilities:
Corporate & Entity Management
- Maintain cap tables, stock and option ledgers, and corporate records using Carta or a similar platform
- Prepare stock certificates, consents, resolutions, and other corporate documents
- Handle annual reports, state filings, certificates of good standing, and certified copies
- Maintain accurate officer and director information
Securities & Compliance
- Prepare and coordinate federal and state securities filings, including Form D, Form ID, and California Form 25102(f)
- Manage SEC EDGAR/EDGAR Next filings and access credentials
- Coordinate related blue sky filings
Transactional Support
- Coordinate signatures, follow up on outstanding closing items, and manage DocuSign processes
- Prepare execution-ready documents and ensure files are clean and finalized
- Assemble signature pages, closing sets, and transaction files
- Order lien searches and organize results for attorney review
- Support transactions from preparation through closing
Document & Data Management
- Prepare redlines and document comparisons
- Organize and convert documents for distribution
- Build and maintain virtual data rooms
- Manage transaction documents and ensure files are accurate, complete, and organized
Requirements:
- 5+ years of corporate paralegal experience in a law firm environment; candidates with 3–4 years may be considered with strong securities filing and cap table experience
- Paralegal certificate from an ABA-approved or comparable program
- Strong working knowledge of corporate formation, entity management, and equity administration
- Hands‑on experience with Form D, Form ID, EDGAR/EDGAR Next, and California Form 25102(f) filings
- Experience with Carta or a comparable cap table platform
- Proficiency with DocuSign, Microsoft Word, Adobe Acrobat, and Excel
- Experience working with virtual data rooms
- Exceptional attention to detail and the ability to manage multiple priorities and deadlines independently
Preferred Qualifications:
- Experience supporting venture financings, M&A transactions, or emerging companies/venture capital matters
