Job summary

FPC of Savannah is seeking an experienced Corporate Paralegal to support the CEO and Leadership Team with governance, entity management, and contract administration. You will manage records, file governance documents for multiple entities, and assist with regulatory filings and audits.

The role requires 5+ years of paralegal experience in corporate law, ideally in manufacturing or in-house settings, with strong organization, communication, and MS Office skills.

Qualifications

  • Associate or bachelor’s degree; paralegal certificate preferred.
  • 5+ years of paralegal experience in corporate law, preferably in manufacturing or in-house.
  • Knowledge of corporate governance, entity formation, and compliance filings.
  • Experience with contract management and legal documentation.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Proficiency in Microsoft Office and legal/entity management software.
  • Experience supporting multi-state or international entities.

Responsibilities

  • Maintain corporate records, minute books, and entity management databases.
  • Prepare and file organizational and governance documents for corporations, LLCs, and other business entities.
  • Support annual report filings, business licenses, and other state or regulatory compliance requirements.
  • Review, track, and organize contracts, amendments, and renewals.
  • Prepare correspondence, agreements, and legal forms.
  • Maintain registrations and renewals related to tax filings as needed.
  • Partner with HR and EHS to track environmental and safety regulations that affect operations.
  • Assist with filing state and federal regulatory reports required for industrial manufacturing.
  • Assist with internal audits on labor, safety, or environmental compliance.
  • Coordinate insurance matters and information needed for policy applications and claims.
  • Conduct legal and factual research related to corporate governance, compliance, and business operations.
  • Coordinate document collection and organization for audits, litigation, or regulatory requests.
  • Monitor deadlines and calendars for filings, renewals, and compliance obligations.
  • Communicate with internal departments, outside counsel, government agencies, and third-party vendors.
  • Assist with intellectual property tracking for plant equipment patents, proprietary processes, or brand trademarks.
  • Draft and review vendor agreements, purchase orders, and distribution contracts.
  • Manage contract renewals and track key dates for supplier performance.
  • Resolve vendor or logistics disputes with counsel of the Leadership Team.
  • Maintain discovery documents and organize responses to legal requests.
  • Support special projects as assigned. Escalate legal matters to outside counsel as needed.

Job description

The Corporate Paralegal will support the CEO/Leadership Team by assisting with corporate governance, entity management, contract administration, regulatory filings, and compliance. This role helps maintain corporate records, prepare legal documents, coordinate board materials, and support the Leadership Team with day-to-day corporate legal operations, with the ability to exercise discretion and independent judgment on matters of significance.

What you will do:

Maintain corporate records, minute books, and entity management databases.

Prepare and file organizational and governance documents for corporations, LLCs, and other business entities.

Support annual report filings, business licenses, and other state or regulatory compliance requirements.

Review, track, and organize contracts, amendments, and renewals.

Maintain registrations and renewals related to tax filings as needed.

Partner with HR and EHS to track environmental and safety regulations (such as OSHA or EPA standards) that affect operations.

Assist with filing state and federal regulatory reports required for industrial manufacturing.

Assist with internal audits on labor, safety, or environmental compliance

Coordinate insurance matters, including facilitation of information needed for various insurance policy applications and claims.

Conduct legal and factual research related to corporate governance, compliance, and business operations.

Coordinate document collection and organization for audits, litigation, or regulatory requests.

Monitor deadlines and maintain calendars for filings, renewals, and compliance obligations.

Communicate with internal departments, outside counsel, government agencies, and third-party vendors.

What you will need:

Associate or bachelor’s degree; paralegal certificate preferred.

5+ years of paralegal experience, preferably in corporate law in manufacturing or an in-house legal department. Oil and gas experience preferred.

Knowledge of corporate governance, entity formation, and compliance filings.

Familiarity with contract management processes and legal documentation.

Strong organizational skills and attention to detail.

Ability to manage multiple projects and deadlines in a fast-paced environment.

Strong written and verbal communication skills.

Proficiency in Microsoft Office and legal/entity management software.

Experience supporting multi-state or international entities.

Experience with board portal, contract lifecycle management, or compliance software.
