You'll manage corporate records, filings, and board materials; handle routine contracts, due diligence, and digitize the contract lifecycle; and assist with audits and regulatory filings while collaborating

Qualifications

  • 3+ years of corporate paralegal experience in law firm or in-house
  • Solid grasp of corporate governance, entity management and contract fundamentals
  • Comfortable with Microsoft Office and legal tech tools such as DocuSign and CLM systems
  • Highly organized with sharp attention to detail and strong multitasking ability
  • Clear, professional written and verbal communicator

Responsibilities

  • Governance & Entity Management: keep records current for domestic & international subsidiaries; annual filings; draft governance documents; organize board meetings.
  • Contracts: review and prepare routine documents; own contract lifecycle; coordinate approvals; refine templates.
  • Compliance: support compliance program, assist with audits and state filings.
  • Transactions: assist with due diligence, data room organization, closing binders, deal execution coordination; liaise with Finance, HR, Ops and Procurement.

Job description

A growing legal team is seeking a mid-level Corporate Paralegal to support day-to-day corporate governance, contract operations, and regulatory compliance work across a multi-entity organization. This is a hands‑on role for someone who thrives on structure, precision, and juggling multiple moving pieces in a fast-paced legal department.


What You'll Do

Governance & Entity Management

  • Keep corporate records current for both domestic and international subsidiaries — minute books, officer and director listings, resolutions, and annual compliance filings

  • Handle state registration filings, annual report submissions, and certificates of good standing

  • Draft standard governance paperwork such as resolutions, consents, and officer/incumbency certificates

  • Help organize board and committee meetings — pulling together agendas, materials, logistics, and meeting minutes


Contracts

  • Review and prepare routine commercial documents, including NDAs, master service agreements, statements of work, vendor contracts, and amendments

  • Own pieces of the contract lifecycle — intake, tracking, version control, and finalizing execution

  • Partner with business teams to keep contractual obligations and internal approvals on track

  • Maintain and refine the organization's contract templates and standard clause library


Compliance

  • Support the broader compliance program — helping update policies, coordinate training, and assist with audits

  • Assist with regulatory and state-level filings

  • Research applicable statutory and regulatory requirements as needed


Transactions

  • Support attorneys on due diligence efforts, data room organization, and assembly of closing binders for deals, financings, or commercial transactions

  • Prepare signature packets and help coordinate deal execution and closing logistics

  • Act as a connector between the legal team and other departments — Finance, HR, Operations, and Procurement

  • Contribute to legal operations improvements, including rollout of contract management or entity management technology


What We're Looking For

Required:

  • 3+ years of experience as a corporate paralegal, either at a law firm or in-house

  • Solid grasp of corporate governance, entity management, and commercial contract fundamentals

  • Comfortable with Microsoft Office and legal tech tools (DocuSign, contract lifecycle management systems, entity management platforms)

  • Highly organized with sharp attention to detail and strong multitasking ability

  • Clear, professional written and verbal communicator


Nice to Have:

  • Background in energy, infrastructure, construction, or a related sector

  • Experience working across multiple corporate entities/subsidiaries

  • Paralegal certificate or bachelor's degree

  • Active notary commission, or open to obtaining one
