Responsibilities

• Manage closing checklists, transaction timelines and post-closing deliverables.
• Coordinate signature packets, execution and closing logistics.
• Organize due diligence materials and virtual data rooms.
• Prepare and coordinate UCC filings, lien searches, good standing certificates and other transactional searches.
• Form, qualify, maintain and dissolve corporations, LLCs and other business entities.
• Prepare organizational documents, board and stockholder consents, minutes and other governance materials.
• Maintain minute books, capitalization records, stock certificates and other corporate records.
• Support private equity, venture capital and general M&A transactions.
• Assist with equity issuances, incentive plans and related corporate documentation.

A growing Chicago law firm is looking to add an experienced Corporate Paralegal to support its transactional practice.

The role involves working directly with attorneys on sophisticated M&A, private equity, venture capital, corporate finance and general corporate matters. The paralegal will take meaningful ownership of transaction logistics, closings, entity work and ongoing corporate maintenance.

This is a good fit for someone who is comfortable managing multiple active transactions and wants a role with significant responsibility and direct interaction with attorneys, clients and third-party providers.
