The ideal candidate has 2+ years of experience handling substantive corporate and transactional matters, including mergers and acquisitions and venture capital transactions across a broad range of industries.

The role involves supporting public and private transactions, drafting and negotiating agreements, and coordinating due diligence to drive deals from structuring through closing.

Qualifications

• 2+ years of corporate and transactional experience, including M&A and VC matters.
• Strong drafting, negotiation, analytical, and organizational skills.
• Identify and resolve complex deal issues.
• Ability to manage multiple workstreams and deadlines in a fast-paced environment.
• Active Illinois bar admission, or eligibility to become admitted.

Responsibilities

• Support public and private mergers, acquisitions, dispositions, joint ventures, strategic investments, and other corporate transactions.
• Draft and negotiate transaction documents, including purchase agreements and governance documents.
• Coordinate due diligence and manage transaction processes from structuring through closing.
