Responsibilities

• Advise private companies, investors, founders, and private equity sponsors on corporate transactions.
• Assist with middle-market M&A transactions (platform/add-on acquisitions, sale transactions, JVs, strategic investments).
• Represent emerging growth companies throughout the lifecycle.
• Advise on entity formation, governance, and growth strategy.
• Draft and negotiate purchase agreements, financing documents, and governance documents.
• Coordinate due diligence and closing processes.

Our client, a nationally recognized law firm, is seeking junior to mid-level Corporate Associates (1-5 years) to join its Corporate Practice in Seattle, San Francisco, or Portland.

This is an exciting opportunity for an attorney interested in working on a broad range of sophisticated transactional matters, including middle-market mergers and acquisitions, venture capital financings, emerging company representation, corporate governance, and private equity transactions. Associates will work closely with experienced partners and clients while gaining significant responsibility throughout the lifecycle of complex transactions.

Responsibilities

• Advise private companies, investors, founders, and private equity sponsors on a variety of corporate transactions
• Assist with middle-market M&A transactions, including:
  • Platform acquisitions
  • Add-on acquisitions
  • Sale transactions
  • Joint ventures
  • Strategic investments
• Represent emerging growth companies throughout the company lifecycle
• Advise founders and companies on:
  • Entity formation
  • Corporate governance
  • General corporate matters
  • Business growth and strategic planning
• Represent companies and investors in venture capital financings, including:
  • Seed financings
  • Series A financings
  • Growth-stage financings
• Draft and negotiate:
  • Purchase agreements
  • Transaction documents
  • Financing documents
  • Disclosure schedules
  • Ancillary agreements
  • Corporate governance documents
• Conduct and manage legal due diligence reviews
• Coordinate transaction workstreams and closing processes
