Job summary

Greenberg Traurig, LLP seeks a 4th–6th year Associate for its Corporate practice in Texas offices. The ideal candidate will have 4–6 years’ experience with private equity funds, independent sponsors, and portfolio companies in M&A, capital raises, and debt/securities offerings, and will draft operating and partnership agreements while handling day-to-day needs of portfolio companies.

Strong drafting, research, and negotiation skills are required, along with the ability to run transactions

Qualifications

• 4–6 years of experience handling private equity funds, independent sponsors, and portfolio companies in M&A, capital raises, and debt/securities offerings.
• Experience drafting operating and partnership agreements and managing day-to-day needs of portfolio companies.
• Lead M&A transactions from inception to closing; familiarity with majority/minority equity issuances; corporate governance; cross-practice teamwork; willingness to train junior associates.
• Strong academic background with superior drafting and research skills; experience negotiating transaction documents; ability to draft M&A documents; diligent, detail-oriented, proactive, team-oriented, personable.

Job Requirements

• Ideal candidates should have 4-6 years of experience working with private equity funds, independent sponsors, and portfolio companies in connection with M&A transactions, capital raises, and debt and securities offerings.
• Candidates should have experience drafting operating and partnership agreements and attending to the day-to-day needs of portfolio companies.
• Candidates should be well-versed in the mechanics of leading an M&A transaction from inception to closing; experience with majority and minority equity issuances made in conjunction with M&A transactions; general corporate and corporate governance experience; ability to work effectively as part of a team across practice areas and a willingness to train junior associates.
• Candidates should also possess a strong academic background, superior drafting and research skills, experience negotiating important transaction documents, the ability to draft M&A transaction documents, and the candidates should be diligent, detail-oriented, proactive, supportive, team-oriented, and personable.
• Candidates must be admitted to the Texas Bar and should be willing to participate in community and professional organizations as part of professional development.
