Overview

Syntax Talent Solutions is seeking a dedicated and skilled Corporate Legal Assistant with expertise in Mergers and Acquisitions (M&A) and general corporate law. The successful candidate will provide comprehensive support to our corporate legal team, ensuring seamless operation of legal activities related to business transactions, regulatory compliance, and corporate governance.

Base pay range: $70,000.00/yr - $80,000.00/yr

Responsibilities
  • Assist in the preparation, editing, and finalization of legal documents related to M&A transactions, including purchase agreements, confidentiality agreements, and closing documents.
  • Conduct legal research and gather relevant information to support corporate transactions and compliance matters.
  • Coordinate and assist with due diligence processes, including the organization and management of data rooms.
  • Maintain corporate records, including minute books, resolutions, and other governance documents.
  • Support the legal team in ensuring compliance with corporate policies and regulations.
  • Liaise with internal and external parties, including legal counsel, clients, and regulatory bodies.
  • Assist in drafting and reviewing corporate resolutions, board meeting minutes, and other corporate documentation.
  • Schedule and coordinate meetings, conference calls, and other communication for the legal team.
  • Provide administrative support, including filing, document management, and correspondence.
Qualifications
  • Bachelor\'s degree or equivalent experience in a legal or related field.
  • Minimum of 5 years of experience as a legal assistant or paralegal, with a focus on corporate and M&A law.
  • Proficiency in legal research tools and database management.
  • Strong organizational skills with attention to detail and the ability to manage multiple tasks.
  • Excellent written and verbal communication skills.
  • Proficiency in Microsoft Office Suite and legal research software.
  • Familiarity with corporate governance, compliance, and regulatory requirements.
  • Ability to work independently and collaboratively in a fast-paced environment.
Preferred Qualifications
  • Paralegal certification or advanced legal training.
  • Experience in a corporate legal department or law firm specializing in corporate law and M&A.
