Job description

We are a premier corporate law firm seeking an experienced attorney to provide support for complex transactional and compliance legal matters.

WHO WE ARE

We are a boutique version of an AmLaw 50 law firm. All of our attorneys have years of experience with multinational law firms and are graduates of top tier law schools. We represent clients in a broad range of sophisticated transactional and compliance matters, including with respect to M&A, private equity, securities, corporate governance, secured finance, fund formation, venture capital, real estate, executive employment and other matters. Our clients include Fortune 100 public companies, multibillion dollar private equity funds and venture capital firms and midcap operating companies. They are located throughout the United States.

We are an entrepreneurial law firm that is growing rapidly. Our attorneys work remotely.

WHO WE NEED

We need a lawyer who satisfies the criteria below. Please do not apply if you do not satisfy all these criteria.

• At least 2 years of AmLaw 100 firm experience working in a sophisticated transactional practice
• Experience with M&A, private equity, securities, corporate governance, secured finance, fund formation and venture capital legal matters
• JD from a top 25 law school with a strong GPA
• Meticulous attention to detail
• The ability to work without any administrative support staff
• The ability to own your responsibilities and learn from your mistakes
• A commitment to working ethically and always in the best interests of clients
• A commitment to producing work product of the highest quality, and doing so efficiently
• Status as an attorney in good standing in at least one US jurisdiction

ADDITIONAL REQUIREMENTS

In addition to the mandatory qualifications above, we are looking for a lawyer with some or all of the following specific characteristics:

• Superb drafting skills and experience drafting purchase agreements, merger agreements, PPMs, registration statements, operating agreements, charters, bylaws, committee charters, subscription agreements, employment agreements, IRAs, ROFRs, commercial contracts and/or resolutions
• A willingness to work in a demanding setting where constructive criticism and collaboration are expected, as is ongoing effort to improve
• Experience with Investment Advisers Act compliance, real estate, commercial transactions, trusts and estates, wealth management, tax and/or IP
• Interest in working for pedagogical attorneys with a commitment to attorney development

This is a full-time, remote position. Compensation is competitive and based upon experience.
