Axiom is seeking a corporate governance paralegal in Chicago to support top Fortune 100 clients on temporary secondments. You'll draft and review governance documents, help maintain records, and assist with SEC filings.

The ideal candidate has 9+ years in a large in-house environment, strong governance knowledge, and proficiency with legal research tools. Engagement-based assignments typically run about six months at a time.

Formación

• 9+ years of corporate governance experience in a large in-house environment.
• Strong understanding of corporate governance, SEC filings, and compliance.
• Proficient with legal research tools and databases.
• Willing to work on an engagement-based, temporary secondment for ~6 months.

Responsabilidades

• Assist client's legal team in drafting and reviewing corporate governance documents, including board resolutions, bylaws, policies, and charters.
• Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance.
• Maintain and update corporate records, including board and committee minutes, shareholder records, and other governance-related documents.
• Assist with the preparation and filing of corporate documents including annual reports, proxy statements, and SEC filings.
