Job summary

Pro Integrate LLC is seeking a corporate counsel to handle venture financings, governance, and equity administration in a remote‑first role. You will own transactional execution from documents to closings and help build AI‑enabled workflows to streamline legal operations.

The role emphasizes hands‑on drafting, calendar‑driven milestone management, and collaboration across legal and business teams in a fast‑paced environment.

Qualifications

• Significant experience supporting venture financings, M&A, or similar corporate transactions.
• Strong knowledge of transaction documents, approvals, and closing processes.
• Experience with governance, entity management, state filings, cap tables, and equity administration.
• Ability to drive matters from start to finish with minimal supervision.

Responsibilities

• Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters.
• Own transaction execution from signatures through closing and post‑closing matters.
• Maintain the master data room and ensure records are accurate and current.
• Manage corporate governance, filings, minute books, and subsidiary records.
• Administer cap tables, equity plans, and equity grants.
• Draft and manage routine corporate and legal documents, escalating when needed.
• Design AI-enabled intake workflows and self-service tools.
• Build templates and automation for recurring processes like NDAs and approvals.
