Job summary

24-MAG LLC is seeking an experienced corporate paralegal and legal operations professional to support venture financings, corporate governance, equity administration, and automation. The role combines transaction execution with building AI-powered intake systems and self-service templates to scale the legal function.

The ideal candidate has significant experience in venture-backed transactions, governance, and equity administration, and thrives in a fast-paced, largely asynchronous environment.

Qualifications

• Significant experience supporting venture financings, corporate transactions, and related approvals.
• Hands-on with corporate governance, entity management, and closing processes.
• Experience with equity plans, cap tables, and equity grants.
• Strong drafting, proofreading, and project-management skills.

Responsibilities

• Support venture financings, secondary transactions, board approvals, and related corporate matters.
• Draft and coordinate routine transaction documents; coordinate with outside counsel.
• Maintain transaction checklists, closing documentation, and post-closing activities.
• Own transaction execution from signatures through closing, including document circulation.
• Maintain corporate governance records, state filings, minute books, and master data room.
• Administer cap tables, equity plans, and equity grants; reconcile records.
• Design AI-enabled intake workflows and build templates, playbooks, and automations.
• Operate in a Slack-driven, asynchronous environment, coordinating across functions.
