XBP Global is seeking an Assistant General Counsel to join its legal team in Irving, TX. The ideal candidate is a corporate generalist with experience in commercial transactions, corporate securities, compliance programs, and litigation, reporting to the Deputy General Counsel.

Qualificações

• Juris Doctorate from an ABA-accredited law school and state bar admission.
• 3–4 years of legal practice with corporate transactional experience.
• Experience drafting and negotiating commercial contracts and SEC reporting.
• Ability to work independently and collaboratively in a dynamic, multicultural organization.
• Excellent written and verbal communication with integrity and judgment.

Responsabilidades

• Draft, review, and negotiate commercial contracts, including MSAs, NDAs, and strategic sourcing agreements.
• Support SEC reporting, manage corporate records, and assist with governance matters.
• Assist with mergers and acquisitions, joint ventures, and growth transactions.
• Collaborate with accounting, finance, tax, treasury, IR, communications, and HR to provide legal guidance.
• Handle demand letters, investigations, HR complaints and lawsuits, and manage litigation with outside counsel.
• Participate in depositions, settlement conferences, and mediation.
• Evaluate compliance needs and identify legal issues and risks across operations.
