GRAIL is seeking a strategic, business-minded Corporate Counsel – Corporate & Securities to join our Legal team in Menlo Park, CA (moving to Sunnyvale, CA in Fall 2026). This role supports public company obligations, governance, and capital markets initiatives, partnering with executives to enable business objectives while managing risk.

Qualifications

• JD from an accredited law school with strong academics.
• Active California Bar membership or eligibility for California in-house counsel.
• 3+ years of progressively responsible legal experience, esp. securities/capital markets.

Responsibilities

• Lead SEC filings, including 10-K/10-Q/8-K and related statements.
• Support governance, board materials, and corporate records management.
• Lead legal due diligence for transactions and capital markets activities.
• Advise on executive compensation and equity programs governance.
• Support investor relations and external communications disclosures.
• Partner with cross-functional teams to drive strategic initiatives.
